• Innovation and AI Transformation consulting
• 1:1 Coaching and mentorship programs
• Portfolio reviews and career guidance
• Team workshops and training sessions
• Executive advisory services

3. Client Responsibilities

As a client of HeyVivi.ai, you agree to:

• Provide accurate and complete information necessary for the delivery of services
• Respond to requests for information in a timely manner
• Make payments according to agreed-upon terms
• Respect intellectual property rights and confidentiality obligations
• Use our services only for lawful purposes
• Not misrepresent yourself or your organization

4. Payment Terms

Fees and Billing

Service fees are communicated during the proposal and agreement phase. Payment terms vary by service type:

• Coaching Sessions: Payment is due prior to scheduled sessions
• Project Engagements: Typically structured as milestone-based payments or retainer agreements
• Advisory Services: Monthly retainer fees are due at the beginning of each service period
• Workshops: Full payment is due upon booking confirmation

Refunds and Cancellations

Cancellation and refund policies vary by service type and will be specified in individual service agreements. Generally, cancellations made with less than 48 hours notice may be subject to fees. We reserve the right to cancel or reschedule services with reasonable notice.

5. Intellectual Property

Our Intellectual Property

All content on our website, including text, graphics, logos, methodologies, frameworks, and software, is the property of HeyVivi.ai and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Client Work Product

Unless otherwise specified in a separate agreement, deliverables created specifically for clients during engagements become the property of the client upon full payment. We retain the right to use anonymized case studies and general learnings for marketing and educational purposes.

6. Confidentiality

We understand that our work often involves sensitive business information. We commit to:

• Treating all client information as confidential unless otherwise specified
• Not disclosing confidential information to third parties without consent
• Using confidential information only for the purpose of delivering services
• Implementing reasonable security measures to protect confidential information

Specific confidentiality terms may be outlined in separate Non-Disclosure Agreements (NDAs) when required.

7. Limitation of Liability

Our services are advisory in nature. We provide recommendations and guidance based on our expertise, but implementation decisions remain with the client.

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the fees paid for the specific service giving rise to the claim
• We do not guarantee specific business outcomes or results
• We are not responsible for decisions made based on our advice

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Indemnification

You agree to indemnify, defend, and hold harmless HeyVivi.ai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any third-party rights.

10. Termination

Either party may terminate an ongoing service relationship with written notice as specified in individual service agreements. We reserve the right to terminate or suspend access to our services immediately, without prior notice, for conduct that we believe:

• Violates these Terms or applicable laws
• Is harmful to other clients, third parties, or our business interests
• Involves fraudulent or deceptive practices

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which HeyVivi.ai operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
